Organization Rewards Terms

Last revised: September 29, 2026

These Organization Rewards Terms (“Terms”) govern your organization’s use of GiftBetter Inc. (“GiftBetter,” “we,” “us,” or “our”) to fund, send, and manage rewards through the GiftBetter Services. They apply to each organization — an employer, business, partner, reseller, or other enterprise customer (“Organization,” “you,” or “your”) — that uses GiftBetter’s rewards features, whether by accepting these Terms online or by entering into an Order Form or other agreement with GiftBetter. By funding or sending Rewards through the Services, you agree to these Terms on behalf of your Organization, and you represent that you are authorized to bind it.

GiftBetter’s Terms of Use (https://GiftBetter.com/terms-of-use) and Privacy Policy (https://GiftBetter.com/privacy-policy) are incorporated in these Terms by reference and made a part hereof; and your agreement to these Terms includes your agreement to the Terms of Use and Privacy Policy. If you use the Services under an Order Form or other agreement (“Rewards Contract”), these Terms are incorporated therein by reference.

If you are an individual who receives a Reward, the Terms of Use and Privacy Policy apply to you instead of these Terms.

Organizations use GiftBetter rewards across a range of programs — for example, employee recognition and milestones, customer loyalty and appreciation, partner and channel incentives, survey and research incentives, promotions, and membership rewards. We may update these Terms by posting a revised version with a new “Last revised” date; your continued use after changes take effect constitutes acceptance.

Definitions

Capitalized terms used but not defined here have the meanings given in the Terms of Use.

“Administrator” means a person you authorize to access your account and to fund, send, approve, or manage Rewards on your behalf, whether through the dashboard, file upload, or a supported integration (including by email, SFTP, or directory sync).

“Applicable Merchant” means the participating merchant ultimately responsible for honoring a Reward or the merchant gift card into which it is redeemed. Merchants participating in the Program must comply with eligibility requirements, operational guidelines, and category monitoring procedures established by GiftBetter from time to time to meet applicable banking, card network, payment processor, and regulatory compliance standards. GiftBetter is not responsible for the acts, errors or omissions (or other circumstance, including solvency or continued operations) of any merchant.

“Gift Card Issuer” means a participating merchant, or the gift card issuer or point-of-sale provider, that issues or activates a merchant gift card.

“Recipient” means any person you designate to receive, select, or redeem a Reward through your program, including an employee, customer, member, contractor, partner, or other designated recipient.

“Reward” means value funded through the Services that a Recipient can redeem for a merchant gift card at a participating merchant, including Recipient-Directed Gifts and any other reward and redemption options GiftBetter may make available through the Services from time to time. When a Reward is redeemed, GiftBetter facilitates the issuance of a merchant gift card that is closed-loop and merchant-branded — redeemable only with that participating merchant or its affiliated group of businesses. A merchant gift card is issued and activated only after the related payment has been processed and the funds have settled. We may delay or decline issuance while we complete fraud, sanctions, or compliance review. Recipient-Directed Gifts are book entries maintained by GiftBetter: they have no cash value and do not constitute stored value or a general-purpose payment instrument. We do not charge the purchaser’s payment method at the time of purchase of a Recipient-Directed Gift but merely verify the payment method at purchase and charge it when the Recipient applies the Recipient-Directed Gift to the merchant or merchants they choose, as described in Section 3 of the Terms of Use. We may verify, authorize, or place a temporary hold on a payment method, and may decline, delay, or hold a redemption to prevent fraud or where a payment method cannot be charged. We do not hold any funds for the benefit of any user.

“Reward Amount” means the value you assign to a Reward.

“Services” means, collectively, the GiftBetter.com website and any other website we operate (each, a “Site”), our mobile applications, and the products, features, and services we make available through them, including any features offered through third-party integrations and includes without limitation the rewards features these Terms cover.

“Third-Party Service Provider” means any third party service provider engaged by GiftBetter (or the Non-Local Rewards Facilitator referred to in Section 19) in connection with the Services, the ordering, issuance and redemption of Rewards (and the related payments) or any other matter contemplated by these Terms.

“Your Data” means non-aggregated, non-anonymized data specifically identifiable with you or a Recipient that is provided to, received by, or collected by GiftBetter in connection with the Services.

Rewards may not be exchanged for cash except where required by law and may not be resold or transferred for value. Use of certain Rewards may require completing activation steps set by the Applicable Merchant or Gift Card Issuer.

Recipient-Directed Gifts are book entries maintained by GiftBetter: they have no cash value and do not constitute stored value or a general-purpose payment instrument. A Recipient-Directed Gift must be applied in full, at one time, to one or more participating merchants chosen by the recipient, in amounts the recipient allocates that together equal the full value of the gift (subject to any minimum amount we or a merchant set), and cannot be applied in part or held as a balance. Merchants participating in the GiftBetter program when a Recipient receives a Recipient-Directed Gift may not necessarily continue participating when the Recipient redeems it.

1. How Organization Rewards Work

GiftBetter is a facilitator and is not the merchant or the issuer of merchant gift cards. Rewards may be issued, fulfilled, activated, processed, or honored by or through one or more Gift Card Issuers, suppliers, merchants, or other third parties. You fund Rewards through the Services and send them to your Recipients; a Recipient applies a Recipient-Directed Gift to gift cards, each redeemable at a single participating merchant of their choice, or receives a Reward you have directed to one or more specific merchants (a Purchaser-Directed Gift), subject to the Recipient’s Exchange Right described in the Terms of Use. In both cases, GiftBetter facilitates the issuance of a merchant gift card from, or on behalf of, the Applicable Merchant or its Gift Card Issuer through its Third-Party Providers. The resulting merchant gift card is a closed-loop, merchant-branded obligation of the Applicable Merchant or its Gift Card Issuer and is subject to its terms (including availability, redemption, expiration, and fees); GiftBetter makes no representation or warranty, and has no responsibility, regarding those terms.

2. Your Account, Administrators, and Delegation

Self-serve account. You can set up and run your rewards program through your GiftBetter account, without a separate signed agreement. You are responsible for all activity under your account and for keeping your credentials secure.

Administrators. You may authorize one or more Administrators to access your account and to fund, send, approve, or manage Rewards on your behalf, and you may set and change their level of access through your account. GiftBetter may rely on the authority of any Administrator until you revoke it through your account or in writing. You are responsible for your Administrators’ actions and for promptly removing access when it should no longer apply.

Responsibility for your program. As between you and GiftBetter, you are solely responsible for your program’s compliance obligations with respect to Recipients — including any consent, notice, privacy, employment, consumer-protection, anti-money-laundering, and know-your-customer requirements — for determining Recipient eligibility, and for handling Recipient disputes, claims, and access, correction, or deletion requests. GiftBetter acts as a service provider carrying out your instructions, as further described in the Terms of Use and Privacy Policy.

3. Funding Rewards

You fund Rewards through the Services using a supported payment method, such as a card or ACH. We verify your payment method when you fund a Reward and record your authorization to charge it. In the case of a Recipient Directed Gift, we charge your payment method only when the Recipient applies the Reward to the merchant or merchants they select. A Purchaser-Directed Gift is subject to the Recipient’s Exchange Right described in the Terms of Use. If the Recipient exercises it, you authorize and direct GiftBetter to apply the amount charged to the replacement merchant or merchants the Recipient selects, in the amounts the Recipient allocates; you will not be charged again or receive a refund. We may authorize or place a temporary hold on a payment method, and may decline, delay, or hold a redemption to prevent fraud, to complete compliance review, or where a payment method cannot be charged. We do not hold funds for your account or for the account of any user.

A merchant gift card is issued and activated only after the related payment has been processed and the funds have settled; we may delay or decline issuance while we complete fraud, sanctions, or compliance review. “Recipient-Directed Gifts” has the meaning given in Section 1. Merchants participating in the GiftBetter program when a Recipient receives a Recipient-Directed Gift may not necessarily continue participating when the Recipient redeems it.

4. Sending and Redeeming Rewards

You or your Administrators designate Recipients and Reward Amounts through the dashboard, file upload, or a supported integration. GiftBetter notifies each Recipient and provides access to the Services by email, SMS, in-app notification, or a supported integration. To the extent your program allows, the Recipient selects a merchant and redeems the Reward, and GiftBetter facilitates issuance of the merchant gift card (s). After issuance, GiftBetter makes order data available to you.

  • Rewards are closed-loop and may not exceed $2,000 (or such other amount as GiftBetter may designate on 15 days’ prior written notice) to a single Recipient in a single day;
  • Reward orders may not be canceled by you once placed, and an issued Reward may not be canceled, terminated, or forwarded by you to anyone other than the intended Recipient;
  • GiftBetter and its Third-Party Providers may use AI features to support the Services; because AI-generated output can be inaccurate or incomplete, you are responsible for reviewing it before relying on it, and AI features are provided subject to the disclaimers and liability limits in Section 13; and
  • GiftBetter is not responsible for the acts, errors, or omissions of you or of any Recipient, Gift Card Issuer, supplier, Applicable Merchant, carrier, Third-Party Provider or other third party, and has no liability for damage to, theft of, misuse of, loss of, or inability to use a Reward once delivered as instructed.

5. Fees

You pay the Reward Amounts you fund. For most Organizations, sending Rewards carries no separate fee — GiftBetter absorbs the cost of processing your funding payments. For funding above the thresholds we set, or by certain payment methods (typically card-funded amounts above a threshold), a processing fee applies to cover our payment-processing costs. Any applicable processing fee and thresholds will be shown to you when you fund and in your account, or set out in an Order Form or other Rewards Contract. Amounts invoiced and unpaid for more than 30 days may accrue a late charge of 1.5% per month (or the maximum permitted by law, if lower).

6. Failed Payments, Chargebacks, and Clawback Rights.

If any payment made by Organization under these Terms (including but not limited to ACH transfers, credit card payments, or wire transfers) fails, bounces, is reversed, or is subject to a chargeback by a financial institution after GiftBetter has credited the Organization’s account or issued Rewards to Recipients, Organization shall be in immediate default of its payment obligations. In such an event, GiftBetter shall have the absolute right, in its sole discretion and without prior notice or liability to Organization, to: (a) immediately suspend Organization’s access to the Services; (b) deactivate, cancel, or freeze any unredeemed Rewards or unused Recipient-Directed Gifts associated with the Organization’s account or sent to Recipients; and (c) offset and deduct the amount of the failed payment, plus any applicable bank fees or processing penalties incurred by GiftBetter, from any amounts GiftBetter owes to the Organization. Organization remains fully liable to GiftBetter for any remaining deficiency.

7. Your Representations and Warranties

You represent and warrant, on a continuing basis, that:

  • your use of the Services, collecting and providing information and communications and the funding, sending, and redemption of Rewards (and related payments), comply with all applicable laws and regulations, including those relating to data security and privacy, consumer protection, and financial regulation, and will not subject GiftBetter to any regulatory regime to which it is not otherwise subject;
  • you have all rights, consents, permissions, and authority necessary to collect and provide Recipient information to GiftBetter and to send Rewards and related communications to Recipients, including any notice or consent required under applicable privacy, employment, consumer-protection, and anti-spam laws — whether your Recipients are employees, customers, members, partners, or other recipients;
  • content and data you or any Recipient provides is owned by you or that Recipient, or is used with authorization; complies with applicable law; does not violate any third-party right; and contains no obscene, indecent, hateful, or otherwise objectionable material, protected health information, or other specially regulated data;
  • neither you nor any Recipient is identified on any U.S. sanctions or export-control list, or located, organized, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions or embargoes; and
  • all information you or any Recipient provides to GiftBetter is accurate and complete when provided.

8. Your Obligations and Restrictions

You agree that:

  • you will provide GiftBetter with information it reasonably requests to comply with applicable domestic and foreign laws and regulations, as a condition of continued use of the Services;
  • neither you nor any Recipient will (a) resell, sublicense, lease, time-share, or otherwise make the Services or any Gift Card Issuer platform available to any third party; (b) attempt to gain unauthorized access to, copy, or disrupt the Services or any Gift Card Issuer platform, or any data, output, insights, or analyses in them; or (c) modify, adapt, create derivative works from, decompile, reverse engineer, or otherwise derive the underlying software of the Services or any Gift Card Issuer platform, or use the Services to build or support a competing or substantially similar offering;
  • You acknowledge that GiftBetter does not guarantee the solvency or continued operations of any Gift Card Issuer, supplier, Applicable Merchant, carrier, Third-Party Provider or other third party and that, if any such party becomes insolvent, ceases operations, or otherwise refuses or fails to honor a Reward or gift card, GiftBetter has no obligation to replace the Reward, issue a refund, or return any funds; and
  • you will use commercially reasonable efforts to ensure no virus, trojan, or other malicious code is introduced by you or any Recipient into GiftBetter’s systems.

9. Taxes

You are solely responsible for all taxes, duties, and similar charges arising from or in connection with the Services and the funding, sending, and redemption of Rewards (and related payments), other than taxes on GiftBetter’s net income. Where applicable to your program, you are also responsible for all required deductions, deposits, filings, reports, and payments relating to withholding, payroll, or similar taxes.

10. Intellectual Property

You own Your Data, and GiftBetter will handle Your Data in accordance with your lawful instructions and applicable law.
GiftBetter owns all right, title and interest in and to the Services, including all content, data and information (other than Your Data) and all compilations, analyses, works, software, databases, functionality, and technology underlying, used in or generated through the Services. GiftBetter may create, compile, generate, and use aggregated, coded, anonymized, or de-identified data that cannot reasonably be linked to you or any individual, together with the results of its analytical processing and any compilations or derivative works created from it (collectively, “NPID Assets”). GiftBetter exclusively owns all NPID Assets and may use and share them for any lawful business purpose, including producing aggregated or cohort-level insights and reporting, in each case in a form that does not identify you individually. Nothing in these Terms or in the funding, sending, or redemption of Rewards or any other transaction contemplated hereby gives you any ownership or other right in GiftBetter’s intellectual property, and you waive any work-for-hire or similar claim.

11. Confidentiality

You will keep GiftBetter Confidential Information confidential, use it only as necessary in connection with the Services, and not disclose it to any third party. “GiftBetter Confidential Information” means all non-public information disclosed or made available to you, before or after you begin using the Services, in any form, that is identified as confidential or that you reasonably should understand to be confidential based on its nature or the circumstances of disclosure. It does not include information that you can show by contemporaneous written records became public through no breach by you, or was already known to you without a duty of confidentiality. On the end of your use of the Services, you will promptly return or (if acceptable to GiftBetter) destroy all GiftBetter Confidential Information and copies.

12. SMS / Mobile Messaging

If Rewards may be sent by SMS or other mobile messaging, the SMS/mobile messaging terms in GiftBetter’s Terms of Use, as updated from time to time, apply to that messaging and are incorporated by reference. You will ensure that your Recipients’ provision and use of mobile numbers, and their receipt of SMS/mobile messages, comply with those terms and all applicable laws.

13. Disclaimers; Limitation of Liability

Except as expressly stated in an Order Form or other Rewards Contract, the Services are provided “as is” and “as available,” and GiftBetter disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by law, GiftBetter and its directors, officers, affiliates, employees, agents, suppliers, partners, and vendors (the “GiftBetter Parties”) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the total aggregate liability of the GiftBetter Parties for all claims arising out of or relating to these Terms or the Services will not exceed the greater of (a) one hundred U.S. dollars ($100), or (b) the actual funds you paid to GiftBetter for the specific, unfulfilled transaction giving rise to the claim, where those funds have not yet resulted in a finalized Reward or completed redemption and cannot be used solely because of a platform or processing error attributable to GiftBetter. If you breach these Terms or a Rewards Contract, you will reimburse GiftBetter for reasonable enforcement and collection costs, including reasonable attorneys’ fees.

14. Indemnity
Organization agrees to defend, indemnify, and hold harmless GiftBetter, its affiliates, and their respective directors, officers, employees, agents, and successors from and against any and all third-party claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to: (a) Organization’s breach of any representation, warranty, covenant, or obligation under these Terms; (b) any dispute between Organization and a Recipient regarding eligibility, reward distribution, employment law, or the design of the Organization’s rewards program; (c) Organization’s failure to calculate, report, or remit any applicable taxes associated with funding or distributing Rewards; and (d) any violation of applicable privacy, data security, or consumer protection laws (including but not limited to the TCPA or CAN-SPAM Act) arising from the Recipient contact information or personal data provided by Organization to GiftBetter.

15. Term, Suspension, and Termination

These Terms apply from the time you first accept them or use the Services and continue until terminated. You may stop using the Services and deactivate your account at any time. We may suspend your account and use of the Services, with or without notice, if we reasonably believe that you have violated this Agreement, provided inaccurate or misleading content or information, or present a fraud, compliance, legal, security, safety, operational, financial, or reputational risk to GiftBetter. Either party may terminate for convenience on thirty (30) days’ written notice, and GiftBetter may suspend or terminate immediately if you present a fraud, compliance, legal, security, or reputational risk, or as needed to comply with law. On termination, your access to the Services ends, and GiftBetter will cancel any Rewards you have funded that have not been redeemed; because your payment method has not been charged for an unredeemed Reward, no refund is required. Termination does not cancel any Reward already sent or issued, which remains subject to its terms, and provisions that by their nature should survive — including amounts owed, confidentiality, intellectual property, disclaimers, limitation of liability, and governing law — will survive.

16. Governing Law and Venue

These Terms are governed by the internal laws of the State of Missouri, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in the City of St. Louis or St. Louis County, Missouri, and waive any objection to venue or personal jurisdiction in those courts. A printed version of these Terms and of any electronic notice is admissible in judicial or administrative proceedings to the same extent as other business records maintained in printed form.

17. General

Entire agreement; order of precedence. These Terms, together with any applicable Rewards Contract and the incorporated Terms of Use and Privacy Policy, are the entire agreement regarding your use of Organization rewards and supersede prior or contemporaneous understandings on that subject. If there is a conflict, the applicable Rewards Contract controls solely with respect to the specific subject matter it expressly addresses, then these Terms control, then the Terms of Use and Privacy Policy. Each Gift Card Issuer, Applicable Merchant, supplier, and Third-Party Provider may rely on your representations, warranties, acknowledgments, releases, and agreements in these Terms and any applicable Rewards Contract.

Assignment; relationship. You may not assign these Terms without GiftBetter’s prior written consent; GiftBetter may assign them without restriction. The parties are independent contractors, and nothing here creates a partnership, joint venture, agency, or employment relationship.

Publicity; notices. Unless you notify us otherwise, GiftBetter may identify you as a customer and use your name and logo in its customer lists and marketing. Notices are effective on receipt and sent to the contact information the parties provide, as updated by notice.

Severability; no waiver; notices. If any provision is unenforceable, it will be limited or removed to the minimum extent necessary and the remainder will stay in effect. A failure to enforce any provision is not a waiver. Notices will be in writing, sent to the contact information the parties provide as updated by notice, and deemed given when delivered personally, when confirmed if sent by email, the next business day if sent by recognized overnight courier, or on receipt if sent by certified or registered mail.

18. Acceptance

You may accept these Terms by clicking to accept online, by funding or sending Rewards through the Services, or by signing an Order Form or other Rewards Contract that incorporates them. Online acceptance has the same effect as a signature. A signature is required only where you and GiftBetter agree to enter into an Order Form or other Rewards Contract.

19. SPECIAL PROVISIONS RELATING TO NON-LOCAL REWARDS
(“NLR Terms”)

You may elect, by accepting these NLR Terms online, to include Non-Local Rewards as Rewards hereunder and the related services (“Non-Local Rewards Services”) as Services hereunder. Upon the effectiveness of Your election (described below), Non-Local Rewards will be available under these Organization Rewards Terms (including these NLR Terms) and with GiftBetter’s Non-Local Rewards Online Terms (https://GiftBetter.com/Non-Local-Rewards-Online-Terms), which are incorporated herein by reference ; and your acceptance of these NLR Terms includes your agreement thereto. If you use the Non-Local Rewards Services under an Order Form or other agreement, these Organization Rewards Terms (including these NLR Terms) are incorporated therein by reference. “Non-Local Rewards” means Rewards which are issued by Merchants or others who are not located in the GiftBetter Local Area. “GiftBetter Local Area” means the geographic areas, identified by postal code on a list maintained by GiftBetter, in which GiftBetter has Local Rewards available from time to time. “Business Day” means any day other than a Saturday, Sunday or United States federal holiday. Non-Local Rewards are Rewards for all purposes of these Organization Rewards Terms and in addition are subject to these NLR Terms and to the Non-Local Rewards Online Terms.

1. Non-Local Rewards. Unless we notify You otherwise, Non-Local Rewards are issuable only as Digital Gift Card Rewards. “Digital Gift Card Reward” means an entitlement evidenced by a unique code issued by the Non-Local Rewards Issuer that enables the Designated Rewards Recipient to acquire, and divide the entitlement among, one or more closed-loop merchant-branded gift cards, each issued by an Applicable Merchant appearing in a list of Applicable Merchants appearing on the Non-Local Rewards Issuer’s platform, subject to any minimum amount per merchant that GiftBetter sets and shows in the Services. “Non-Local Rewards Issuer” means the third-party rewards issuer engaged by Our Non-Local Rewards Facilitator from time to time to issue Non-Local Rewards; We and Our Non-Local Rewards Facilitator may change the Non-Local Rewards Issuer at any time. Non-Local Rewards will be ordered and issued as provided in GiftBetter’s Non-Local Rewards Online Terms. Any “Rewards Account” referred to in those terms is an account maintained by Our Non-Local Rewards Facilitator in its own name. GiftBetter does not maintain it, has no role in or access to it, and holds no funds in it for You or for any Recipient. “Non-Local Rewards Facilitator” means the third-party engaged by Us from time to time to facilitate the issuance of Non-Local Rewards and provision of the Non-Local Rewards Services; We may change the Non-Local Rewards Facilitator at any time. Our Non-Local Rewards Facilitator is currently Bonfyre Inc. (“Bonfyre”).

2. Effectiveness of Your Election; Onboarding Period. The “Onboarding Period” is the period from Your online acceptance of these NLR Terms through the third Business Day following it. Where the screening described in Section 3 returns no unresolved result, approval is given automatically and Your election takes effect on the earlier of (a) the date Our Non-Local Rewards Facilitator notifies Us that it has approved You and (b) the end of the Onboarding Period. Where that screening returns a result which has not been resolved, Your election is held and does not take effect unless and until Our Non-Local Rewards Facilitator affirmatively approves You, notwithstanding the end of the Onboarding Period. In determining whether to accept, reject, suspend or terminate Your election (or Your access to Non-Local Rewards and Non-Local Rewards Services) Our Non-Local Rewards Facilitator will apply such standards as it determines appropriate and may, but will not be required to, apply the same customer acceptance standards it applies to its organization and corporate clients generally. No Non-Local Reward Order will be placed with the Non-Local Rewards Issuer before Your election is effective. Amounts payable for Non-Local Rewards are charged separately by Our Non-Local Rewards Facilitator, which is the merchant of record for that charge; where that charge is authorized before Your election is effective, it is captured only on effectiveness and is released in full if Your election does not become effective. The effectiveness of Your election (and Your ability to access Non-Local Rewards and Non-Local Rewards Services) is subject to termination as provided below.

FROM AND AFTER THE EFFECTIVENESS OF YOUR ELECTION, AND CONTINUING UNTIL SUCH TIME AS THE EFFECTIVENESS OF YOUR ELECTION HAS BEEN TERMINATED AS PROVIDED BELOW (OR THE GIFTBETTER NON-LOCAL REWARDS ONLINE TERMS HAVE BEEN TERMINATED WITH RESPECT TO YOU AS PROVIDED THEREIN), YOU BECOME AND ARE A CUSTOMER OF THE NON-LOCAL REWARDS FACILITATOR WITH RESPECT TO NON-LOCAL REWARDS.

NON-LOCAL REWARDS ARE PURCHASED FROM AND PROVIDED BY THE NON-LOCAL REWARDS FACILITATOR, NOT BY GIFTBETTER. GIFTBETTER ACTS ONLY AS YOUR AGENT AND SERVICE PROVIDER FOR THE ORDERING AND PAYMENT STEPS DESCRIBED IN GIFTBETTER’S NON-LOCAL REWARDS ONLINE TERMS.

NOTHING HEREIN OBLIGATES THE NON-LOCAL REWARDS FACILITATOR TO ACCEPT OR CONTINUE ANY CUSTOMER RELATIONSHIP WITH YOU OR ANY OTHER PERSON AND, WITHOUT LIMITING THE FOREGOING, THE NON-LOCAL REWARDS FACILITATOR MAY TERMINATE THE EFFECTIVENESS OF YOUR ABOVE ELECTION AT ANY TIME AS PROVIDED BELOW.

3. Sanctions Screening; Customer Acceptance Standards. During the Onboarding Period, and from time to time thereafter, Our Non-Local Rewards Facilitator will screen You and Your beneficial owners and control persons against the sanctions and export control lists identified in Our Non-Local Rewards Facilitator’s arrangements with the applicable Non-Local Rewards Issuer, and You consent to such screening. Each Designated Rewards Recipient You submit will be screened against those lists before a Non-Local Reward Order is placed for that Recipient. A Non-Local Reward Order will not be placed for any party which is not cleared under that screening. Where a screening result cannot be resolved from the information You have provided, We or Our Non-Local Rewards Facilitator may ask You for additional information about the affected Recipient, and the affected Non-Local Reward may be held until the matter is resolved; the balance of Your order is not affected. You represent that, to Your knowledge and in addition to the representations You make elsewhere in these Organization Rewards Terms, neither You nor any of Your beneficial owners or control persons nor any Designated Rewards Recipient You submit is identified on any such list or is located, organized or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions or embargoes. Nothing in the foregoing limits GiftBetter’s right or obligation to conduct screening of its own, or to hold or decline any transaction under its own compliance program.

4. Termination of Approval. Our Non-Local Rewards Facilitator may, by notice to GiftBetter, at any time and for any reason (I) terminate Your election and Your right to Order Non-Local Rewards prospectively, and (II) decline any particular Non-Local Reward Order at any time before that Order is placed with the Non-Local Rewards Issuer. Neither action affects any Non-Local Reward already issued. In the case of any declined or terminated Non-Local Reward Order, Our Non-Local Rewards Facilitator will refund the affected funds, if any, to You.

5. Term; Suspension and Termination. These NLR Terms apply from the time You first accept them or use the Non-Local Rewards Services and continue until terminated. In addition to the terminations described above, these NLR Terms, and Your ability to use Non-Local Rewards and the Non-Local Rewards Services, (a) may be terminated at any time and for any reason by You, GiftBetter or Our Non-Local Rewards Facilitator on notice to the others; (b) will be suspended or terminated automatically, with or without notice, upon any suspension or termination of Our agreement with Our Non-Local Rewards Facilitator or of Our Non-Local Rewards Facilitator’s agreement with the Non-Local Rewards Issuer; and (c) may be suspended or terminated by Us, with or without notice and without limiting our general termination rights under these Organization Rewards Terms, if we reasonably believe You have violated these NLR Terms or the Non-Local Rewards Online Terms, provided inaccurate or misleading information, or present a fraud, compliance, legal, security, safety, operational, financial or reputational risk, or as needed to comply with law. You are not required to use the Non-Local Rewards Services and may stop doing so at any time, with or without terminating these NLR Terms.

6. Effect of Termination. On termination, the termination and wind-down provisions of the Non-Local Rewards Online Terms apply. No termination or suspension cancels a Non-Local Reward already issued. Provisions of these NLR Terms and of the Non-Local Rewards Online Terms which by their nature should survive — including amounts owed, confidentiality, intellectual property, disclaimers, limitation of liability, and governing law — will survive.
